Please read these Terms of Use (the “Agreement”) carefully before using the website, mobile applications, and services offered by Equivont, LLC and its subsidiaries (collectively, “Equivont”). This Agreement sets forth the legally binding terms and conditions for your use of the website at www.equivont.com (the “Site”), mobile applications, and services provided by Equivont (collectively, the “Services”). By using the Services in any manner, including but not limited to visiting or browsing the Site, you (the “user” or “you”) agree to be bound by this Agreement, including those additional terms and conditions and policies referenced herein and/or available by hyperlink. This Agreement applies to all users of the Services, including without limitation users who are readers, subscribers, advertisers, directory members, contributors of content, and any other users of the Site.

I. What Equivont Is

Equivont is an editorial media platform serving the equestrian community. Equivont publishes original editorial content, operates a curated service provider directory, and offers advertising and sponsorship opportunities for equestrian businesses. Equivont also provides a curated horses for sale section connecting sellers with prospective buyers.

Equivont does not act as a buyer, seller, broker, or agent in any transaction between users. Equivont does not pre-screen users or the content and information provided by users, and cannot guarantee the accuracy, completeness, or reliability of any user-submitted content, including but not limited to directory listings, horse listings, or advertiser claims. Equivont is not responsible for and does not endorse any third-party products, services, horses, or representations made by advertisers, directory members, or other users of the Site. You use the Equivont service at your own risk.

II. Membership Eligibility

Age

Equivont’s services are available only to individuals who are 18 years of age or older and who can form legally binding contracts under applicable law. By using the Site you represent and warrant that you are at least 18 years old and that all registration information you submit is accurate and truthful. Individuals under the age of 18 must use Equivont’s services only in conjunction with and under the supervision of a parent or legal guardian who is at least 18 years of age. In all cases, the adult is the user and is responsible for any and all activities. Any use of or access to the Service by anyone under 13 is strictly prohibited and in violation of this Agreement. If you are under 13, please do not attempt to register for the Service or send any information about yourself to us. If we learn that we have collected personal information from anyone under age 13 without verification of parental consent, we will delete that information as quickly as possible. Equivont may, in its sole discretion, refuse to offer access to or use of the Services to any person or entity and change its eligibility criteria at any time.

Compliance

You agree to comply with all local laws regarding online conduct and acceptable content. You are responsible for all applicable taxes arising from your own activities. You must abide by Equivont’s policies as stated in this Agreement and any other operating rules, policies, and procedures published from time to time on the Site by Equivont, each of which is incorporated herein by reference and may be updated by Equivont from time to time without notice to you.

Password

Keep your password secure. You are fully responsible for all activity, liability, and damage resulting from your failure to maintain password confidentiality. You agree to immediately notify Equivont of any unauthorized use of your password or any breach of security. Equivont cannot and will not be liable for any loss or damage arising from your failure to keep your password secure. You agree not to provide your username and password in combination to any other party without Equivont’s express written permission.

Account Information

You must keep your account information up to date and accurate at all times, including a valid email address. You may not transfer or sell your Equivont account and User ID to another party. You are responsible for all activity on your account and User ID. If you are registering as a business entity, you personally guarantee that you have the authority to bind the entity to this Agreement.

Right to Refuse Service

Equivont’s services are not available to temporarily or indefinitely suspended members. Equivont reserves the right, in its sole discretion, to cancel unconfirmed or inactive accounts, and to refuse service to anyone, for any reason, at any time.

III. Prohibited Activities

You are solely responsible for your conduct and activities on Equivont and any and all data, text, information, usernames, graphics, images, photographs, profiles, audio, video, and links (together, “Content”) that you submit, post, and display on Equivont. Your Content and your use of Equivont shall not:

  • Be false, inaccurate, or misleading;
  • Be fraudulent or involve illegal, counterfeit, or stolen items or services;
  • Infringe upon any third party’s copyright, patent, trademark, trade secret, or other proprietary or intellectual property rights or rights of publicity or privacy;
  • Violate this Agreement, any Site policy or community guidelines, or any applicable law, statute, ordinance, or regulation;
  • Involve any countries, entities, individuals, or items prohibited by sanctions, embargoes, or orders administered by the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”) or other government agencies;
  • Be defamatory, unlawfully threatening, or unlawfully harassing, or impersonate or intimidate any person, including Equivont staff or other users;
  • Falsely state or otherwise misrepresent your affiliation with any person or organization;
  • Be obscene or contain child pornography;
  • Contain or transmit any code of a destructive nature that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information;
  • Modify, adapt, or hack Equivont or modify another website so as to falsely imply that it is associated with Equivont;
  • Appear to create liability for Equivont or cause Equivont to lose the services of its ISPs or other suppliers; or
  • Link directly or indirectly to, reference, or contain descriptions of goods or services that are prohibited under this Agreement, the Privacy Policy, or other policy documents posted on Equivont.

IV. Content

License

Equivont does not claim ownership rights in your Content. You grant Equivont a license solely to enable Equivont to use any information or Content you supply, so that Equivont is not violating any rights you might have in that Content. You grant Equivont a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, and database rights you have in the Content, in any media now known or not currently known. You agree to allow Equivont to store, translate, or reformat your Content and display it on Equivont in any way Equivont chooses. Equivont will only use personal information in accordance with Equivont’s Privacy Policy.

All listings, photos, and content posted by businesses advertising with Equivont may be used in Equivont newsletters, social media, and other marketing channels, including Instagram, Facebook, and other platforms, as agreed upon at the time of engagement.

Copyright and Intellectual Property

All photos and content provided to Equivont must be copyright compliant. You warrant that you have the right to submit any content you provide to us. Equivont shall not be responsible for any copyright infringement resulting from content submitted by users or advertisers.

Re-Posting Content

By posting Content on Equivont, it is possible for an outside website or third party to re-post that Content. You agree to hold Equivont harmless for any dispute concerning this use. If you choose to display your own Equivont-hosted image on another website, the image must provide a link back to its page on Equivont.

Idea Submissions

Equivont considers any unsolicited suggestions, ideas, proposals, or other material submitted to it by users via the Site or otherwise (other than Content) to be non-confidential and non-proprietary, and Equivont shall not be liable for the disclosure or use of such material. You hereby grant Equivont a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, sub-licensable, and transferable right and license to incorporate, use, publish, and exploit such material for any purpose whatsoever, without compensation or further recourse by you.

V. Information Control

Equivont does not control the Content provided by users that is made available on Equivont. You may find some Content to be offensive, harmful, inaccurate, or deceptive. By using Equivont, you agree to accept such risks and acknowledge that Equivont and its officers, directors, agents, subsidiaries, joint ventures, and employees are not responsible for any acts or omissions of users on Equivont.

Equivont is not responsible for the availability of outside websites or resources linked to or referenced on the Site. Equivont does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such websites or resources. You agree that Equivont shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or resources.

VI. Resolution of Disputes and Release

Disputes with Equivont

In the event a dispute arises between you and Equivont, please contact Equivont first. Any dispute arising from or relating to the subject matter of this Agreement shall be governed by and construed in accordance with the laws of the State of California, including all matters of construction, validity, performance, and enforcement, and without giving effect to the principles of conflict of laws. You agree that the state and federal courts in the County of Santa Barbara, State of California shall have sole and exclusive jurisdiction and venue for the resolution of all disputes arising under the terms of this Agreement. Use of the Services is not authorized in any jurisdiction that does not give effect to all provisions of the Agreement, including without limitation this section. Any cause of action arising out of or related to the Services or this Agreement must commence within one year after the cause of action arose; otherwise, such cause of action is permanently barred.

Disputes with Users or Third Parties

Equivont encourages you to contact any relevant user or third party directly to resolve disputes amicably. In the event a dispute arises between you and another user or a third party, Equivont will not act as mediator or intervene unless and until the receipt of notice from a court of law authorizing such interference. You release Equivont and its officers, directors, agents, subsidiaries, joint ventures, and employees from any and all claims, demands, and damages of every kind and nature arising out of or in any way connected with disputes with one or more users or outside parties.

Any disputes between users or third parties shall be exclusively resolved through binding arbitration conducted through the California Mandatory Fee Arbitration Program under the rules and procedures adopted by the California Bar. The arbitrator’s determination shall be accepted as the final determination of the matter. The arbitration proceedings and award shall be maintained as strictly confidential, except as required by court order or as necessary to confirm, vacate, or enforce the award.

VII. Equivont’s Intellectual Property

EQUIVONT, and other Equivont graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, trademarks, or trade dress of Equivont, LLC in the U.S. and/or other countries. Equivont’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names or email addresses, in connection with any product or service in any manner that is likely to cause confusion.

VIII. Access and Interference

Much of the information on Equivont is updated on a real-time basis and is proprietary or licensed to Equivont by its users or third parties. You agree that you will not use any robot, spider, scraper, or other automated means to access Equivont for any purpose without Equivont’s prior express written permission. Additionally, you agree that you will not:

  • Take any action that imposes, or may impose, an unreasonable or disproportionately large load on Equivont’s infrastructure;
  • Copy, reproduce, modify, create derivative works from, distribute, or publicly display any user Content or other content except as expressly permitted by prior written permission of Equivont and the appropriate third party;
  • Interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or
  • Bypass Equivont’s robot exclusion headers or other measures Equivont may use to prevent or restrict access to Equivont.

IX. Breach

Without limiting any other remedies, Equivont may, without notice and without refunding any fees, delay or immediately remove Content, warn Equivont’s community of a user’s actions, issue a warning to a user, temporarily suspend a user, temporarily or indefinitely suspend a user’s account privileges, terminate a user’s account, prohibit access to the Site, and take technical and legal steps to keep a user off the Site and refuse to provide services to a user if any of the following apply:

  • Equivont suspects a user has breached this Agreement, the Privacy Policy, or other policy documents and community guidelines incorporated herein;
  • Equivont is unable to verify or authenticate any of your personal information or Content; or
  • Equivont believes that a user is acting inconsistently with the letter or spirit of Equivont’s policies, has engaged in improper or fraudulent activity in connection with Equivont, or whose actions may cause legal liability or financial loss to Equivont’s users or to Equivont.

Equivont reserves the right to suspend and/or terminate a person’s account or any accounts held by that person by virtue of association, including all usernames under which that person operates on Equivont.

X. Privacy

Except as provided in Equivont’s Privacy Policy, Equivont will not sell or disclose your personal information to third parties without your explicit consent. Equivont stores and processes Content on computers located in the United States and various other places around the world that are protected by physical as well as technological security measures.

XI. No Warranty

Equivont, its subsidiaries, officers, directors, employees, and suppliers provide Equivont’s website and services “as is” and without any warranty or condition, express, implied, or statutory. Equivont specifically disclaims any implied warranties of title, merchantability, performance, fitness for a particular purpose, and non-infringement. No advice or information, oral or written, obtained by you from Equivont shall create any warranty. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

XII. Liability Limit

In no event shall Equivont, its subsidiaries, officers, directors, employees, or suppliers be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the Site, Equivont’s services, or this Agreement, including without limitation lost profits, bodily injury, emotional distress, or any special, incidental, or consequential damages. Equivont’s liability to you or any third parties in any circumstance is limited to the greater of (a) the amount of fees you paid to Equivont in the 12 months prior to the action giving rise to liability, and (b) $100. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

XIII. Indemnity

You agree to indemnify and hold Equivont and its parent, subsidiaries, affiliates, officers, directors, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

XIV. No Guarantee

Equivont does not guarantee continuous, uninterrupted access to the Site. Operation of the Site may be interfered with by numerous factors outside Equivont’s control.

XV. Severability

If any provision of this Agreement is held unenforceable, then such provision will be modified to reflect the parties’ intention. All remaining provisions of this Agreement shall remain in full force and effect.

XVI. No Agency

You and Equivont are independent contractors, and no agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this Agreement.

XVII. Equivont Service

Equivont reserves the right to modify or terminate the Equivont service for any reason, without notice, at any time. Equivont reserves the right to alter these Terms of Use or other Site policies at any time, so please review the policies frequently. If Equivont makes a material change, Equivont will notify you by email, by means of a notice on our home page, or through other means Equivont deems appropriate. What constitutes a “material change” will be determined at Equivont’s sole discretion, in good faith, and using common sense and reasonable judgment.

XVIII. Choice of Law

This Agreement shall in all respects be interpreted and construed in accordance with the laws of the State of California, excluding its conflicts of laws rules, and the United States of America.

XIX. Survival

Sections IV (Content), V (Information Control), VI (Resolution of Disputes and Release), VII (Equivont’s Intellectual Property), VIII (Access and Interference), IX (Breach), X (Privacy), XI (No Warranty), XII (Liability Limit), XIII (Indemnity), XIV (No Guarantee), XV (Severability), XVI (No Agency), and XVIII (Choice of Law) shall survive any termination or expiration of this Agreement.

XX. Notices

Except as explicitly stated otherwise, any notices shall be given by email to Equivont at [email protected], or in your case, to the email address you provide to Equivont during registration or as subsequently updated in your account. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. For issues with intellectual property, please provide notice as specified in Equivont’s Copyright and Intellectual Property Policy.
